1. SUBJECT MATTER OF THE AGREEMENT<\/span><\/h4>\n

1.1. The lessor leases to the lessee, and the lessee accepts on lease, the items specified in the annex to the agreement, hereinafter referred to as the property:
\n1.2. Upon acceptance of the property (the date of signing the handover and acceptance report), the right to use the property, the risk of accidental destruction and liability as the possessor of a source of increased danger pass to the lessee.
\n1.3. The written handover and acceptance report specifies the items included and the intended use of the property, and records any defects identified upon acceptance. The report forms an integral annex to the agreement.<\/p>\n

2. RIGHTS OF THE LESSEE
\n<\/span><\/h4>\n

2.1. Income earned by the lessee through use of the property in accordance with the agreement belongs to the lessee.
\n2.2. The lessee has the right to recover the property from any unlawful possession, request the removal of obstacles to its use and claim compensation for damage caused to the property by third parties.
\n2.3. The lessee is entitled to protect the leased property against any interference or dispossession and to exercise self-help, the right of pursuit or judicial protection.<\/p>\n

3. OBLIGATIONS OF THE LESSEE<\/span><\/h4>\n

3.1. The lessee undertakes to fulfil all terms and obligations under the agreement properly and on time and is liable for their fulfilment to the extent and in the manner established by the laws of the Republic of Estonia and this agreement. The lessee must pay rent and all other amounts due on time.
\n3.2. The lessee undertakes to use the property economically and with due care, in accordance with the purpose specified in its technical documentation (instructions for use), and to carefully comply with all other requirements arising from the manufacturer\u2019s and lessor\u2019s rules for maintenance, use and operation.
\n3.3. If the lessee breaches the requirements referred to in clause 3.2, the lessor is entitled to claim compensation corresponding to the damage caused.
\n3.4. The lessee must keep the property in good condition and pay all costs arising during its use that result from the lessee\u2019s improper performance of contractual obligations.
\n3.5. The lessee must immediately inform the lessor if the property is lost, damaged or partially or completely destroyed.
\n3.6. If the leased property is destroyed or lost, the lessee must reimburse the lessor for the price of a new replacement device.
\n3.7. Without the lessor\u2019s permission, the lessee may neither repair damaged property independently nor commission repairs from others.
\n3.8. The device must be returned to the lessor clean.<\/p>\n

4. RIGHTS OF THE LESSOR<\/span><\/h4>\n

4.1. The lessor may inspect the condition of the property at any time, directly or through third parties, and issue instructions binding on the lessee.
\n4.2. If an inspection is required because the lessee has failed to perform, or has improperly performed, the agreement, the lessee undertakes to reimburse in full and without objection all justified inspection costs incurred by the lessor.
\n4.3. The lessor may recover the property from any unlawful possession, request the removal of obstacles to its use and claim compensation for damage caused by other persons, including the lessee.
\n4.4. The lessor is entitled to receive rent and other amounts due in accordance with applicable legislation, the agreement and its annexes.
\n4.5. The lessor is not responsible for the lessee\u2019s compliance with fire safety rules or other mandatory requirements when using the leased property, or for damage that use of the property may cause to the lessee or a third party.<\/p>\n

5. OBLIGATIONS OF THE LESSOR<\/span><\/h4>\n

5.1. The lessor undertakes to hand over the leased property to the lessee in accordance with clause 1.3.
\n5.2. The lessor undertakes to instruct the lessee on how to use the property.
\n5.3. The lessor undertakes to perform regular maintenance of the property.<\/p>\n

6. RENT AND PAYMENT PROCEDURE<\/span><\/h4>\n

6.1. The lessee must pay rent for the leased property until the equipment
\nis returned. The price includes 20% VAT. Rent starts accruing when the agreement is
\nsigned.
\n6.2. The date on which the lessee\u2019s payment is received in the lessor\u2019s bank account is deemed the date of performance of the lessee\u2019s payment obligation.
\n6.3. If a payment due date falls on a non-working day, the payment is due on the following banking day.
\n6.4. The lessor may charge late payment interest of 0.5% per calendar day on overdue rent. Interest accrues from the day following the payment due date until the relevant amounts are paid.
\n6.5. Rent does not include the cost of energy required for the equipment or maintenance costs unless separately agreed in writing.
\n6.6. Transport costs for the leased property are not included in the rent.<\/p>\n

\n

7. GUARANTEES<\/span><\/h4>\n

7.1. The property is owned by the lessor, who confirms that no third parties hold any rights to it.
\n7.2. If ownership of the property passes to another legal entity or individual, the agreement remains legally valid and binds the new owner with the lessor\u2019s rights and obligations under this agreement.
\n7.3. The parties have the legal capacity under the laws of the Republic of Estonia to perform the obligations assumed under the agreement.
\n7.4. The agreement creates lawful, valid and binding obligations for the parties to ensure proper and complete performance of its terms.
\n7.5. The lessee guarantees performance of the obligations assumed under the agreement (solvency) with all property belonging to the lessee.
\n7.6. The lessor may require a security deposit for the device, which will be refunded to the lessee after the device is returned.<\/p>\n

8. LESSEE\u2019S LIABILITY FOR SAFEKEEPING OF THE PROPERTY AND PENALTIES<\/span><\/h4>\n

8.1. The lessee bears full and unconditional responsibility for safekeeping of the property until the agreement expires or is terminated early.
\n8.2. Destruction, loss or damage to the property for reasons beyond the lessee\u2019s control does not reduce or release the lessee from the obligations set out in the agreement.
\n8.3. If the lessee involuntarily loses use of the property, the lessee must immediately inform the lessor.
\n8.4. If the lease is terminated due to the lessee\u2019s failure to perform, or improper performance of, its obligations, the lessee must pay a contractual penalty equal to twice the amount specified in the agreement.
\n8.5. The lessee must hand over the property to the lessor on the day following expiry or termination of the agreement.
\n8.6. The lessee bears full financial liability for the actual damage caused to the lessor or a third party through non-performance or improper performance of the agreement, and for the lessor\u2019s lost income.
\n8.7.
